Welcome to Whisper CRM! These Terms and Conditions (“Terms”) govern your access to and use of Whisper CRM, a service provided by Elitesoft, a company based in Dubai, United Arab Emirates. 1.1. Elitesoft: Refers to our company, Elitesoft, registered in Dubai, UAE, and the developer and owner of Whisper CRM.
1.2. Whisper CRM: Refers to our online service that facilitates WhatsApp Cloud API services to businesses.
1.3. User/You: Refers to any individual or business entity accessing and using Whisper CRM.
1.4. Services: Refers to all functionalities provided by Whisper CRM, including but not limited to WhatsApp Cloud API integration, messaging management, and customer relationship tools.
2. Acceptance of Terms
By registering for or using Whisper CRM, you confirm that you have read, understood, and agree to these Terms. If you are entering into these Terms on behalf of a company or organization, you represent that you have the authority to bind the company or organization to these Terms.
3. Use of the Service
3.1. Eligibility: Whisper CRM is intended to be used by businesses (as verified by Meta) and is not for personal use.
3.2. Compliance: You agree to use our services in compliance with all applicable local, national, and international laws, including WhatsApp’s Terms of Service and Meta’s guidelines for WhatsApp Cloud API.
3.3. Restrictions: You agree not to:
- Use Whisper CRM for spam, harassment, or any other unlawful activity.
- Attempt to reverse-engineer, decompile, or modify our platform.
- Use the service in a manner that violates WhatsApp or Meta policies.
4. Account Registration
4.1. Account Creation: To access Whisper CRM, you must create an account by providing accurate and complete information.
4.2. Account Security: You are responsible for maintaining the confidentiality of your account credentials and are liable for all activities conducted under your account.
4.3. Unauthorized Access: Notify us immediately if you suspect unauthorized access to your account.
5. Subscription and Payments
5.1. Pricing: Whisper CRM offers subscription plans, details of which are available on our website.
5.2. Payment Terms: Payments are due as per the subscription plan selected. Failure to pay may result in suspension or termination of your account.
5.3. Refunds: All payments are non-refundable unless otherwise stated in a specific agreement.
6. Service Availability
6.1. Uptime: While we aim to provide uninterrupted service, we do not guarantee 100% uptime. Scheduled maintenance, updates, or unforeseen technical issues may cause temporary downtime.
6.2. Support: Support is available as per the terms of your subscription plan.
7. Data and Privacy
7.1. Data Ownership: You retain ownership of all data you provide to Whisper CRM.
7.2. Data Usage: By using the service, you grant Elitesoft the right to process your data for the purpose of delivering the services.
7.3. Privacy Policy: Your use of Whisper CRM is also governed by our Privacy Policy.
8. Third-Party Services
Whisper CRM integrates with third-party services, including WhatsApp Cloud API. We are not responsible for the performance, policies, or terms of these third-party services.
9. Termination
9.1. Termination by User: You may terminate your subscription at any time by contacting us.
9.2. Termination by Elitesoft: We reserve the right to terminate your account if you violate these Terms or engage in unlawful activities.
10. Intellectual Property
10.1. Ownership: All intellectual property related to Whisper CRM, including trademarks, logos, and software, remains the property of Elitesoft.
10.2. License: You are granted a non-exclusive, non-transferable, revocable license to use Whisper CRM in accordance with these Terms.
11. Liability and Disclaimer
11.1. No Warranty: Whisper CRM is provided “as is” without any warranties of any kind.
11.2. Limitation of Liability: To the maximum extent permitted by law, Elitesoft shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of Whisper CRM.
12. Indemnification
You agree to indemnify and hold Elitesoft harmless from any claims, losses, or damages arising from your use of Whisper CRM or your violation of these Terms.
13. Governing Law
These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be resolved under the jurisdiction of the courts in Dubai.
14. Amendments
Elitesoft reserves the right to modify these Terms at any time. Changes will be communicated via email or through our platform. Continued use of the service constitutes acceptance of the updated Terms.
